These Terms of Service (“Terms”) govern your access to and use of the website, dashboard, and professional services (the “Services”) provided by Seckira Sdn. Bhd. (Co. No. 202401017441 / 1563291-W) (“Seckira”, “we”, “us”, “our”). By using the Services you agree to be bound by these Terms.
1. Eligibility
You may use the Services only if you are at least 18 years old and have the legal capacity to enter into a binding contract under Malaysian law. By engaging us on behalf of a company, you warrant that you have authority to bind that company.
2. Scope of Services
The exact services we provide are set out in your engagement letter, which forms part of these Terms. They may include: company incorporation; company-secretarial services; accounting and bookkeeping; tax computation and filing; payroll processing; and related advisory work.
Audit services, legal advice and licensed financial advice are not within scope unless expressly stated. Where required, we will refer you to a licensed third party.
3. Fees & payment
- All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of SST unless stated otherwise.
- Subscription plans are billed annually in advance. Ad-hoc work is billed on completion.
- Government fees (SSM, LHDN, KWSP, etc.) are passed through at cost on top of our service fees.
- Invoices are due within 14 days. Late payment incurs interest at 1.5% per month or the maximum permitted by law.
- We may pause Services for accounts more than 30 days overdue, after written notice.
4. Your responsibilities
- Provide complete, accurate and timely information about your company, directors, shareholders and finances.
- Maintain custody of original signed documents and supporting records as required by Malaysian law.
- Review and sign off on filings we prepare for you before the relevant statutory deadlines.
- Notify us of any change in directors, shareholders, registered address, business activity or banking arrangements within 7 days.
- Maintain the confidentiality of your dashboard log-in credentials.
5. Our responsibilities
- Provide the Services with the reasonable skill and care expected of a qualified Malaysian company secretary and accountant.
- Meet all statutory deadlines, provided you give us the information we request at least 5 business days before the deadline.
- Respond to in-app and WhatsApp queries within 6 business hours during published business hours (Mon–Fri, 9am–6pm MYT).
- Keep your data confidential in accordance with our Privacy Policy.
6. Confidentiality
Each party will keep the other party’s confidential information confidential, and will use it only to perform its obligations under these Terms. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law or by a regulator.
7. Intellectual property
The Seckira platform, dashboard, content and trademarks remain our sole property. You retain ownership of your business data. By using the Services, you grant us a non-exclusive, royalty-free licence to process your data solely to provide the Services.
8. Disclaimers
The Services are provided on an “as is” and “as available” basis. We do not guarantee that the dashboard will be uninterrupted, error-free, or secure against every conceivable threat. Tax outcomes depend on facts you provide, and on rulings and practices of the relevant authorities that may change without notice.
9. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Services in any 12-month period is limited to the fees you paid us in that 12-month period. Neither party is liable for indirect or consequential losses, including loss of profits, business opportunity or goodwill.
Nothing in these Terms limits liability that cannot be limited under Malaysian law.
10. Indemnity
You agree to indemnify us against any loss, claim or expense arising from your breach of these Terms or your provision of inaccurate or incomplete information.
11. Termination
- Either party may terminate the engagement with 30 days’ written notice.
- We may terminate immediately if you are in material breach, if you become insolvent, or if continued provision would breach our regulatory or AMLA obligations.
- On termination, we will hand over your records and assist with the transition to a successor provider, subject to settlement of outstanding fees.
12. Force majeure
Neither party is liable for failure to perform caused by events outside its reasonable control, including natural disasters, government action, network outages, war, or pandemics, provided the affected party gives prompt notice and uses reasonable efforts to mitigate.
13. Governing law & dispute resolution
These Terms are governed by the laws of Malaysia. The parties submit to the exclusive jurisdiction of the courts of Malaysia, save that disputes may, at either party’s option, be referred to arbitration administered by the Asian International Arbitration Centre (AIAC) under its rules in force at the time. The seat of arbitration is Kuala Lumpur; the language is English; the tribunal is a sole arbitrator.
14. Changes to these Terms
We may amend these Terms from time to time. Material changes will be notified at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance.
